These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Contractor", "You") and SoliEarth Infrastructure Systems Inc. ("SoliEarth", "Company") governing your access to and use of DirtCount™ (dirtcount.com), including any associated early-access software, pilot web applications, and services.
DirtCount™ provides operational calculation, tracking, and organization tools to assist civil contractors. All final estimates, bid pricing, equipment allocations, and contract commitments remain the sole professional responsibility of the contracting organization. SoliEarth does not guarantee tender award success or project profitability.
The DirtCount™ platform, including all visual designs, source code, underlying software architecture, documentation, and trademarks, is the exclusive proprietary intellectual property of SoliEarth Infrastructure Systems Inc. Participation in the private pilot does not grant the Contractor any ownership rights in the platform.
Contractors participating in early development pilots acknowledge that features are in active development. Any operational feedback, suggestions, or workflow recommendations provided by participants may be incorporated into the DirtCount™ platform without compensation or obligation.
To the maximum extent permitted by applicable law, SoliEarth Infrastructure Systems Inc. shall not be liable for any indirect, incidental, or consequential damages arising from the use of early-access pilot software. These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
